Terms of Use

1. Acceptance

These Terms govern the use of offmem (chat, console and API), offered by ARQORIA LTDA, CNPJ 68.055.055/0001-32 ("offmem", "we"). By creating an account and checking the acceptance box, you agree to these Terms and to the Privacy Policy. Electronic acceptance is recorded with date, time, version and IP address and counts as a declaration of intent.

To use offmem you declare that you are 18 or older and have full legal capacity. If you use it on behalf of a company, you declare that you have the authority to bind it to these Terms.

2. What the service is

offmem gives access to open-source artificial intelligence models, modified to refuse fewer requests. Responses are generated automatically, without human review, and may be false, inaccurate, incomplete, outdated, offensive, shocking or dangerous.

Responses are not professional advice, whether medical, legal, financial, psychological, security-related or in any other field. Before using a response to make decisions, check it against reliable sources or a qualified professional.

The service is provided as is and as available. We do not guarantee continuous availability, absence of errors, any specific result or fitness for a particular purpose.

3. Your responsibility

You are solely responsible for what you send to the service, for how you use the responses, and for everything you publish, run, distribute or do based on them, including the civil, criminal and administrative consequences.

Discussing, researching, studying or writing fiction about sensitive topics is allowed. Using the service to commit, prepare, facilitate or encourage a crime or real harm to someone is not.

You are responsible for all use made with your account and your API keys, which are personal and confidential. If you suspect unauthorized access, revoke the key and change your password immediately.

Code and files generated by the AI run in your browser or in your environment by your decision. Review them before running or using them.

4. Prohibited uses

It is prohibited to use offmem for:

a) any content that sexualizes minors under 18, in any form, including fiction, drawings or text. Zero tolerance: the account is terminated and the case is reported to the authorities;

b) planning, preparing or carrying out terrorism, homicide, kidnapping, human or drug trafficking, or obtaining real capability to produce chemical, biological, radiological or nuclear weapons or explosives to cause harm;

c) breaking into, attacking or compromising systems, networks or accounts without the owner's authorization, or creating and distributing malicious software for real use;

d) carrying out scams, fraud, phishing, money laundering or forgery of documents, signatures or identities;

e) threatening, harassing, stalking, extorting, exposing third parties' personal data, or inciting violence or discrimination against people or groups;

f) creating false content that imitates a real person in order to deceive, including to manipulate elections or damage reputations;

g) violating copyrights, trademarks, trade secrets or the privacy of third parties;

h) circumventing the limits, billing or security of the service, reselling access without authorization, overloading the infrastructure or reverse engineering;

i) any other activity that is illegal in Brazil or where you are located.

5. Content

What you send remains yours. To the extent the law recognizes rights over the responses, they are yours. Responses may resemble those of other users, and there is no guarantee of originality or exclusivity.

You authorize us to process your content on the infrastructure that runs the models solely to generate the response. We do not use your content to train models.

6. Privacy

offmem does not store the content of conversations or of the API. Chat history stays only in your browser. The processing of account, usage and access data is described in the Privacy Policy, which is part of these Terms.

7. Indemnification

You agree to indemnify and hold offmem, its partners, officers and collaborators harmless from any claim, lawsuit, damage, fine, cost or attorney fee brought by third parties or authorities arising from your use of the service in violation of these Terms or the law, or from the content you sent, generated, published or used.

8. Limitation of liability

To the maximum extent permitted by law, offmem is not liable for: content generated by the models; decisions, acts or omissions based on the responses; use of the service by you or by third parties with your credentials; loss of the history stored in your browser; indirect damages, lost profits or loss of opportunity; unavailability or failure of third-party services (models, hosting, payment).

Where liability exists, it is limited to the total you paid to offmem in the 12 months before the event.

Nothing in these Terms excludes or limits rights that the law does not allow to be excluded or limited, including those under the Consumer Protection Code (Código de Defesa do Consumidor, Law 8,078/1990).

9. Payments, credits and referrals

Prices, plan limits and API rates are on the pricing page and in the console. Plans renew for each period until canceled. The API uses a prepaid balance, debited by usage measured in tokens.

You may withdraw from a purchase made online within 7 days (art. 49 of the Consumer Protection Code), with a refund of the amount paid, minus what has already been consumed.

Bonus credits (referral or promotion) are not money: they cannot be withdrawn, transferred or refunded, and they are canceled in case of a chargeback of the payment that originated them or of fraud, including self-referral with fake accounts.

10. Suspension and termination

We may suspend or terminate your account or keys, without prior notice, in case of violation of these Terms, signs of fraud, risk to the security of the service or of third parties, or an order from an authority. In case of serious violation, credits and balance may be blocked, except as guaranteed by law.

You may delete your account at any time through the console. What is deleted and what the law requires us to keep is described in the Privacy Policy.

11. Authorities

We comply with court orders and legal requests. Because we do not store the content of conversations, we can only provide the data we actually keep, described in the Privacy Policy. Cases of child sexual abuse are reported to the authorities regardless of an order.

12. Changes

We may change these Terms. Relevant changes take effect upon a new acceptance, requested on your next visit. If you do not agree, you may stop using the service and delete your account.

13. Governing law and venue

These Terms are governed by Brazilian law. For consumers, the courts of the consumer's place of residence have jurisdiction. In all other cases, the courts of the judicial district of Curitiba/PR are chosen.
